Resolved, That the bylaws of the Western Pennsylvania Linux Users Group (WPLUG) are rescinded, effective when the organization's officers have completed all instructions listed herein. Until the rescission is effective, the current officers, sitting as the Board of Directors, shall have full power and authority over the affairs of WPLUG without limitation and the quorum for a Board of Directors meeting shall be one, given reasonable notice. The officers shall identify a suitable person or persons to serve as custodian of WPLUG's non-physical assets, including the wplug.org domain name, the files and data residing on the server, the post office box, and the service marks WPLUG and Western Pennsylvania Linux Users Group. The custodian shall be chosen based on their ability and willingness to hold and maintain the files, data, and domain name, as well as to encourage and support any suitable individuals who wish to reconstitute WPLUG in the future. Ideally, the custodian shall be willing to keep WPLUG's files, data, and online services running and available. The custodian shall not be expected to renew the post office box after the current rental term ends. The officers shall take such actions as are necessary to transfer WPLUG's non-physical assets to the ownership or control of the custodian. The officers shall dispose of WPLUG's physical assets either through sale, donation to a charitable organization, or placement in care of the custodian. The officers shall settle all payments owed by WPLUG. They may, upon request of the custodian, disburse funds for up to 24 months of anticipated expenses such as hosting. After doing so, the entire balance of funds remaining, including amounts in cash and bank accounts, shall be donated to the Free Software Foundation of Boston, Massachusetts.
