"Ad hoc" in this context meaning "improvised".

The by laws (Section 6.5) only specify that thew newly-elected Board of 
Directors decide among themselves a slate of officers to be seated as 
the Board.  There is no specific mechanism specified as to how this is 
to be done, so this provides some flexibility on how that is 
accomplished - it doesn't necessarily need to be within the context of a 
formal meeting, though that is one way it's been done in the past.
