+ modem
- - internet connection
=> direct dial-up

Which means you'll have to set up a dial-in server like diald on the 
linux side to answer the phone. Your modem must support certain 
features to do that.

On the windows side, you'll have to create a dialup connection, and run 
telnet/ssh once you're connected to the linux box, to get your shell.

Why not hook it up to the net and activate the ssh server of your linux 
box? Easier and quite likely much cheaper :-)
