You've misread the information in the second link.  The Vice Chair was 
present for the February 7th board meeting (as recorded in the minutes).

I'll repeat what I said above - during the previous term, no Director 
was ever absent in a way that would trigger Section 6.7 of the bylaws.  
We actually paid fairly close attention to this.
