To quote the bylaws at http://www.wplug.org/~rdale/wplugbylaws.html:

"The Board shall be self-selecting. Each Director must be a natural 
person. Appointments to fill open or newly created positions on the 
Board shall be unanimously approved by the Directors already appointed."

So, the board gets to create and appoint people to the positions of 
Chair, Treasurer, Galley Slave, or whomever. Unless there's another 
section I'm missing, these people don't have to be on the board 
(although the Director at least should be, in my opinion).
